Privacy Policy – uMore

Protecting your privacy is important for uMore. This privacy policy describes our current policies and practices with regard to Personal Data collected by us from you directly and/or through your use of the uMore website and application.

uMore FZ-LLC, a Dubai Free Zone Limited Liability Company in the United Arab Emirates (hereafter collectively referred to as “uMore”) manage current or future services, including the uMore app, mobile applications and websites as part of a long-term strategic decision to focus on people’s needs. The terms “our”, “us” or “we” means uMore.

By using our Services, you expressly consent to the collection, use, storage and disclosure of your personal information, including your personal health information, as described in this Privacy Policy and the Terms of Use, which forms part of this Privacy Policy. If you do not agree to our Privacy Policy, please do not use any of our Services.

For the purpose of this Privacy Policy the following definitions shall apply:

The data controller shall be uMore, setting out the purpose for the use of any personal information given by you when using our Services.

  • Data processor shall mean anyone processing Data on behalf of uMore.
  • Services shall mean any product, mobile application or website made available by us.
  • Minor(s) shall mean any person under the age of 18, or persons, who are not legally competent to enter into contracts under applicable law.
  • User Account or Account shall mean your personal account, with your personal associated username and password.
  • Personal Information Shall mean any personal data, identifying or relating to an identified natural person. any factual or subjective information in recorded form that identifies or could be used to identify an individual.  Personal Information includes, but is not limited to, information such as age, name, address, birth date, email, gender, height and weight depending on the specific service you use and submit to us.
  • Personal Health Information shall mean information about an identifiable individual in recorded form that relates to the physical or mental health of the individual, as well as the providing of health care to the individual. Personal Health Information is a type of Personal Information.
  • Personal Data shall mean both Personal Information and Personal Health Information together.

If the Services requires you to create an account you thereby accept our collection, processing, use and retention of your Personal Data as set forth in this Privacy Policy. Before you submit any information through the Services we, therefore, encourage you to read this Privacy Policy carefully.

Any Personal Data is provided by you on a voluntary basis. In submitting such information you hereby consent to your Personal Data being collected, stored, processed, used or disclosed as set out in this Privacy Policy, including for legitimate business purposes such as the purpose of making contact with you, responding to your requests for information, or for other purposes indicated by you, as well as for the protection of our own legitimate business interests.

Because uMore provides a wide range of Services, we may ask you to review and accept supplemental terms that apply to your interaction with a specific Service. To the extent those supplemental terms conflict with this Privacy Policy, the supplemental terms associated with the Service shall govern.

Personal Data we collect at uMore

uMore is the data controller of all Personal Data collected about you by us in relation to any of our Services. Once you register we may ask you for Personal Data relevant for being able to present, enrich and personalise data experiences. Further, we may collect Personal Data provided by you voluntarily to us, such as information included in comments and recommendations made by you on any of our Services or in response to questionnaires, surveys or during other interactions with us. In addition, we may monitor your use of our Services. Through this, we may collect and obtain additional Personal Data about you regarding, for example, your health. By registering an account, you explicitly consent to the processing of the Personal Data you submit to the Personal Data or which is otherwise collected by us as set out in this Privacy Policy.

We collect and process the following Personal Data about you either given by you or provided through your use of our Service uMore:

  • Information relating to transactions carried out between you and us on or in relation to the Service
  • Your contact information, such as e-mail address in case you register for an account or subscribe to news from uMore
  • Any questions, suggestions and comments sent to us
  • Information about you if you use the Service we provide, including your IP address, login information, browser type, operating system, platform, geographical location, length of visit to certain pages or app screens and number of pages or app screens viewed
  • Information obtained through the completion of surveys that you agree to participate in and that we use for research purposes
  • Information contained in text messages related to the Service, images, chats or other communication modalities of the Service
  • Health information and other personal information such as your gender, year of birth, diagnosis status, etc., given to us

Use of collected Personal Data:

The primary purposes for collecting, storing, processing and disclosing your Personal Data is to improve usability and accuracy of research into the factors tracked by you through the uMore app such as well-being index scores and symptoms over time. The aim of this research is to provide you with insights into the development of your well-being and potentially influencing factors.

Other purposes for processing your Personal Data are described below:

  • To provide you with our content and Services, including to administer your use of the Services and offering you a backup of e.g. your Account.
  • To collect data across users, to present an aggregated result of experiences and use of the Services
  • To provide personalized Services according to individual profiles based on individually keyed in data processed by an algorithm
  • To improve the Services in terms of functionality and content
  • To establish and maintain communications with you as agreed with you
  • To process your comments and respond to any queries you may have
  • To carry out surveys, studies and evaluations including statistical analysis
  • To link, aggregate and cross-reference with other uMore data in order to improve the Services
  • To comply with applicable laws, regulations or codes of practice, including to report adverse events to health regulators
  • To detect and prevent fraud, and to help safeguard the interests of uMore and its users
  • For information technology management purposes
  • To enforce or apply the Terms of Use and other agreements or to investigate potential breaches
  • For all other purposes to which you have specifically consented

Your Personal Data will be anonymised after two years of inactivity or upon request from you. Inactivity meaning the latest point in time you have interacted with communication from uMore.

How is your Personal Data transferred and secured

Personal Information submitted through our Services will be kept confidential (to the extent set out in this Privacy Policy) and will only be used for the purposes specified in this Privacy Policy. While we use security measures to protect Personal Data transmitted online, please be aware that no security measures are perfect or impenetrable. Please know that communications over the Internet may be intercepted by an unauthorized third party even though encrypted.

The employees who have access to Personal Data have been trained to handle such data properly and in accordance with our security protocols and strict standards of confidentiality.

Focused on protecting your Personal Data, uMore will only pass information onto third parties if the applicable law on the protection of Personal Data allows this and if this is in accordance with the Terms of Use and the present Privacy Policy.

uMore will use service providers (i.e. data processors acting only on instructions from uMore), some of which may be located outside of the region or country from where you reside, in order to provide technical support, services in the area of maintenance and development of the Services. We may decide to host the data at a uMore company or a service provider acting as a data processor.

Via your use of the Services you understand and hereby accept that your Personal Data will also be transferred to the following independent third parties for processing for the purposes stated below and only in respect of Personal Information relevant for these purposes:

  • Any third party claiming that any User Content submitted by you constitutes a violation of their intellectual property rights or of their right to privacy
  • Any third-party service providers (who may be located in any part of the world) for purposes related to supporting uMore’s business (e.g., fulfilment services, technical support, delivery services) and providing you with information (if you have opted into receiving such information as described above), in which case we will require such third parties to agree to treat it in accordance with this Privacy Statement.
  • Any third party involved with the proposed sale, assignment, merger, amalgamation, plan of arrangement or other transfer of the business of a uMore company or a separate part hereof
  • Any governmental, administrative, judicial or regulatory authority for the purpose of co-operating in proceedings, inquiries and investigations requested by such authorities or to comply with any legal or regulatory requirements or to protect our rights, property or interests, including to enforce this Privacy Policy or our other Terms of Use.
  • Any necessary third party if the personal safety of members of the public are in jeopardy.

Some of these third parties, service providers, affiliates or related companies may be located outside of the country from where you registered using one of the Services. As a result, your Personal Data may be transferred, stored, used and/or processed outside your country in connection with the purposes described in this Privacy Policy. Contractual or other measures uMore may use to protect your Personal Data are subject to the legal requirements applicable in the foreign jurisdictions where your Personal Data may be transferred, stored, used or processed (for example, lawful requirements to disclose Personal Information to government authorities in those countries).

Further, uMore may disclose and/or use aggregated information and non-identifying information with third parties for further analysis, demographic profiling and other similar or related purposes. In such a case, the information will be completely anonymised and therefore not subject to this Privacy Policy.

Your rights and responsibilities

You may contact uMore at any time to request that we or any third party instructed by us:

  • Update and correct any of your Personal Data in our custody and control if these turn out to be inaccurate or misleading in accordance with applicable personal information laws
  • Provide you with access to your Personal Data in our custody and control.

Further, you can, at any time, withdraw your consent to the Privacy Policy by contacting uMore without the need to state any reason. In that event, Personal Data related to you will be deleted.

If the Personal Data we, or any third party instructed by us has, changes please let us know as soon as possible so that we can keep our records up to date.

Receiving newsletters, relevant information etc.

If you have requested to receive information from us, e.g. newsletters, communications regarding the Services, disease awareness information, surveys and questionnaires and other relevant information about similar services and products etc., and do not wish to receive further information, you can easily opt-out of receiving further information from us by sending an email to the address set out at the end of this Privacy Policy or using the link provided in the newsletter in question.

Information on Minors

Our Services are in general not intended for the use of Minors. We do not knowingly collect Personal Information from any person we know is a Minor without the prior consent of a parent or guardian.

If you become aware that a Minor has provided us with Personal Information without parental consent, please contact us at info@umore.app. If we become aware that a Minor has provided us with Personal information against the terms set out in this Privacy Policy, we will take steps to remove the information and terminate the Minor’s Account.

Changes to this Privacy Policy

We are continually improving our methods of communication. As technology evolves, new opportunities may arise for improving the Services by adding new features and functionalities. Therefore, we reserve the right to update this Privacy Policy at any time and at our sole discretion. If and when our practices change and/or we update this Privacy Policy, we will (as soon as possible) let you know either by posting the modified Privacy Policy through the interface of the Services or through other communications. It’s important that you review the Privacy Policy regularly to stay informed of the Personal Data that we collect about you, how we use it and the circumstances under which we may disclose it. Recognizing that your privacy is important to you and uMore, we employ technical security measures to protect your Personal Data. uMore will take all reasonable steps to keep secure any Personal Data we hold about you against loss or theft, as well as unauthorized access, use, copying, modification, disclosure or disposal, and to keep this information accurate and up to date. Personal Information is protected by security safeguards appropriate to the sensitivity of the information.

However, no transmission of Personal Data, including transmission over the Internet can be guaranteed to be completely secure. Consequently, to the extent permitted by law, uMore, its affiliates, related companies, third-party service providers and their respective officers, directors, employees and agents do not represent, warrant, or guarantee that Personal Data will be protected against misuse, loss, or alterations and do not accept any liability for Personal Data submitted to them for your or third parties’ use or misuse of Personal Data. Moreover, where you use passwords, ID numbers, or other special access features it is your responsibility to safeguard them.

uMore keeps your Personal Information only as long as necessary to satisfy the purposes for which it was collected, however, some Personal Information is kept for a number of years to comply with legal requirements. Any Personal Information that is no longer needed is securely destroyed after two years.

The terms “our”, “us” or “we” means uMore.

For the purpose of these Terms of Use the following definitions shall be applicable:

  • Services shall mean any mobile application or website made available by us.
  • Minor(s) shall mean any person under the age of 18, or persons, who are not legally competent to enter into contracts under applicable law.
  • Content shall mean any type of content, including but not limited to text, shared experiences, graphics, images, sound, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, generated, provided or otherwise made available through the Services and which may include Content which is owned or controlled by third parties which we are permitted to make available to you via the Services.
  • User Content shall mean any Content that Account Holders provide to be made available through the Services.
  • User Account or Account shall mean your personal account, with your personal associated username and password.

Account responsibilities:

If the Services require you to create a User Account, you must do so with an associated login and password. Your responsibility in using the Services:

You agree not to use the Services in any manner that:

Further, you may not (a) use any uMore domain name as a pseudonymous return email address; (b) attempt to disable, bypass, modify, defeat, or otherwise circumvent any security related tools incorporated into the Services; (c) change, modify, adapt, or otherwise alter the Services, or change, modify, or alter another website so as to falsely imply that it is associated with the Services; (d) inject content or code, or otherwise alter or interfere with the way any content, source code or other element rendered or displayed in another user’s device; (e) reproduce, duplicate, copy, sell, or exploit for any commercial purposes, any portion of the Services or access to the Services; (f) systematically (including manually) collect, scrape, or use any content from the Services, including through the use of any data mining, or similar data gathering and extraction methods; (g) use any high volume, automated, or electronic means to access the services (including without limitation robots, spiders, or scripts); (h) frame the Services, place pop-up windows over its Content, or otherwise affect the display of its Content; (i) assist, encourage, or enable violations of these Terms of Use; (j) impersonate or misrepresent your affiliation with any person or entity; (k) intimidate, abuse, stalk, threaten, harass or violate the legal rights of any other user of the Product; (l) post or transmit any material that is defamatory, offensive, profane, indecent, hateful, threatening, obscene, or unlawful; or (m) upload, or otherwise make available, files that contain images, photographs, software or other material that is protected by intellectual property laws, including trademark and copyright laws unless you own or control the rights thereto or have obtained all necessary consents. Intellectual Property Rights:

All Content made available through the Services is the property of, or is licensed for use by, uMore or other third parties and is protected by applicable legislation regarding intellectual property rights, including copyright laws and trademark laws. All intellectual property rights in or of the Services (other than in respect of User Content) belong to uMore or one of our business partners. The Content may not be used other than for your personal and non-commercial use with all copyright or other proprietary notices retained. No unauthorised use, modification, copy or reproduction or retransmission of any part of the Content is permitted without the express prior written approval of uMore.

Any Intellectual Property displayed in the Services or otherwise used in connection with the Services are registered and unregistered trademarks or service marks and are protected worldwide. Nothing contained in the Services should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Intellectial Property displayed in association with the Services without the prior written permission of uMore or such third party that may own the Trademarks. Please be advised that uMore will aggressively enforce its intellectual property rights to the fullest extent of the law, including the seeking of criminal prosecution.

Rights in Content Granted by uMore:

Subject to your compliance with these Terms of Use, uMore grants you a limited, non-exclusive, non-transferable, non-sub-licensable license to use the Content solely in connection with your permitted use of the Services and solely for your personal and non-commercial purposes. uMore may at any time revoke your license to use the Content.

You understand and acknowledge that the Services is the property of uMore, and you may not prepare derivative works of, modify, distribute, sell, lease, rent, sublicense, assign, export, or transfer in any other manner the Services, or any underlying software, technology, or other information, including any printed materials of the same, unless expressly authorized hereunder. Any use of third party software provided in connection with the Product will be governed by such third parties’ licenses and not by these Terms of Use.

Rights in User Content:

If you share any User Content through the Services, you waive all moral rights and grant (or warrant that the owner of such materials expressly grants) to uMore, its affiliates, its agents, its representatives and its third party service providers, a worldwide, perpetual, royalty-free, irrevocable, transferable, sub-licensable and non-exclusive license and right to: (i) use, copy, adapt, modify, transmit, communicate, publicly display, perform, and/or distribute such User Content; and (ii) create compilations and/or derivative works from such User Content. uMore’s collection, use and disclosure of any personal information, or personal health information, will however, be subject to the terms of the Privacy Policy.

You are solely responsible for all your User Content (including its reliability, accuracy and truthfulness) and uMore has no control over the same. You confirm that you own all your User Content or you have all rights that are necessary to grant us the license rights in your User Content as described above. You also confirm that neither your User Content, nor your use and provision of your User Content to be made available through the Services will infringe, misappropriate or violate a third party’s intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation. Subject to the section titled “Limitation of Liability” uMore will have no liability in this respect and we have the right to disclose your identity to any third party claiming that any User Content submitted by you constitutes a violation of their intellectual property rights or of their right to privacy.

uMore has the right to refuse to post, move, remove or edit any User Content from the Services at our own discretion but we do not assume any obligation to any users to monitor the User Content or remove any specific material. You can remove your User Content by specifically deleting it

By commenting or submitting a comment or recommendation on the Services, you grant uMore permission to contact you regarding the content of the comment. Subject to your consent, you also grant uMore license to modify, edit, crop, highlight and/or republish your content with attribution to you, or if requested by you, publish without attribution to you in an anonymous form.

Termination:

uMore may terminate your use of the Services (in whole or in part) for any reason at any time. You may cancel your Account at any time by sending an email to us at info@umore.app. Upon any termination, discontinuation or cancellation of services or your Account, all provisions of these Terms of Use which by their nature will survive, including, without limitation, ownership provisions, warranty and professional/medical services disclaimers, assumption of risk and compensation, limitations of liability, and provisions regarding governing law and venue.

You understand that termination of this Agreement and your Account may involve deletion of your information from our databases as well as any User Content. YOU AGREE THAT WE WILL NOT BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY TERMINATION OF YOUR ACCESS TO THE SITE OR DELETION OF YOUR ACCOUNT OR USER CONTENT.

Compensation:

To the extent permitted by law, you agree to indemnify, defend and hold harmless uMore, its parents, subsidiaries, affiliates, officers, directors, licensors, co-branders, suppliers, and other partners, employees, consultants and agents, together with all of their respective officers, directors, employees and consultants, from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys’ fees and court costs) that such parties may incur as a result of or arising from (a) any information you submit, post, or transmit through the Services, (b) your use of the Services, (c) your failure to observe or perform any material provision in or violation of these Terms of Use, (d) your violation of any rights of any other person or entity or (e) any viruses, Trojan horses, worms, time bombs, cancelbots, or other similar harmful or deleterious programming routines input by you into the Services. We shall provide notice to you of any such claim, suit, or proceeding and shall assist you, at your expense, in defending any such claim, suit, or proceeding. We reserve the right to exclusively defend and control any such indemnification matters; and that you will fully cooperate with us in any such defense.

Actual or attempted unauthorized use of the Product, or services provided by the Services or the Content may result in criminal and/or civil prosecution, if relevant. uMore explicitly reserves the right to view, monitor, and record activity relating to your use of the Services, without notice or permission from you. Any information obtained by monitoring, reviewing, or recording is subject to review by law enforcement organizations in connection with investigation or prosecution of possible illegal activity in connection with the Services.

uMore will also comply in good faith with all court orders as well as all legitimate law enforcement and regulatory inquiries involving requests for such information. uMore specifically reserves the right to monitor your use of the Services, including any associated Content, and to remove or modify any Content and/or User Content, information, or any other element associated with the Product, in its sole and absolute discretion, for any reason or no reason, without any notification or explanation. While we use security measures to protect sensitive and personal information transmitted online, please be aware that no security measures are perfect or impenetrable.

In particular, please know that communication by SMS text messages is inherently insecure and may be intercepted by an unauthorized third party. Any information conveyed via SMS text message is sent at your own risk.

We will take all reasonable measures to protect the Services against computer viruses, worms, Trojan horses or other threats. We do not, however, warrant that the Services are free from such harmful programs and we are not responsible for any loss incurred by you due to harmful programs received from the Services or by means of files downloaded from the Services.

If for any reason a court of competent jurisdiction finds any provision of these Terms of Use is found to be illegal, void, or unenforceable, the unenforceable provision will be modified so as to render it enforceable and effective to the maximum extent possible and the other provisions of these Terms of Use will remain in full force and effect.

Governing law and venue:

These Terms of Use and your access to and use of the Services and the Content hereof shall be governed by and interpreted in accordance with the Laws of the United Arab Emirates. Any dispute arising out of or in relation to these Terms of Use shall, if it cannot be solved amicably, be decided by the Dubai Courts in the United Arab Emirates.

Laws and regulatory requirements vary across countries and jurisdictions. The Services may in whole or in part not comply with legal requirements of all jurisdictions. The arbitration shall be conducted in accordance with the International Institute for Conflict Prevention and Resolution (“CPR”) Rules for Non-Administered Arbitration (Effective November 1, 2007), except as they may be modified herein or by mutual agreement of the parties. You are solely responsible for all your User Content (including its reliability, accuracy and truthfulness) and uMore has no control over the same. You confirm that you own all your User Content or you have all rights that are necessary to grant us the license rights in your User Content as described above.
